Marinomed ist ein renommiertes, an der Wiener B\u00f6rse notiertes biopharmazeutisches Unternehmen im Bereich Atemwegserkrankungen. Die Transaktionsbedingungen beinhalten Vorab- und Meilensteinzahlungen in H\u00f6he von insgesamt bis zu 20 Millionen Euro, einschlie\u00dflich einer Vorabzahlung von bis zu 5 Millionen Euro.<\/p>\n<p>Weitere Zahlungen h\u00e4ngen vom Erreichen definierter kommerzieller und operativer Ziele in den n\u00e4chsten zwei Jahren ab. Der Abschluss der Transaktion unterliegt den \u00fcblichen Bedingungen wie der Fusionskontrolle und der Zustimmung der Aktion\u00e4re des Unternehmens in einer au\u00dferordentlichen Hauptversammlung. Die Vereinbarung sieht die \u00dcbertragung des gesamten Carragelose-Portfolios einschlie\u00dflich aller damit verbundenen Vertr\u00e4ge und Gesch\u00e4ftsbeziehungen vor.
